Abstract

A company's performance is affected by internal or external factors and the major factor is that the company does not have a sound corporate governance. In this research to investigate how internal factors are affecting the company performance. In this regard, this study intends to conceptualise company performance from a governance perspective and financial and non-financial perspective. This study investigates the impact of organisational culture, board leadership, board gender diversity and board effectiveness on company performance. Therefore, this paper aims to understand the role of boards in respect of their leadership, effectiveness and gender diversity as well as organisational culture in affecting the company performance in Malaysian public listed companies. In point of this, it could have a better understanding of boards and the company itself, reinforce the sound corporate governance and promote corporate sustainability. This research has adopted quantitative and cross-sectional study methods to achieve the research objectives. The online survey questionnaire is used to collect primary data and a sample size of 208 employees who are working in Malaysian public listed companies. The data obtained are analysed using SPSS Version 25.0 and SmartPLS 4.0 software. The research finding revealed the organisational culture and board leadership are not positively related to company performance. As for the mediating hypotheses, board effectiveness partially mediates the relationship between organisational culture and board gender diversity toward company performance. Also, board effectiveness does not mediate the relationship between board leadership toward company performance. The limitations of this research have been identified and recommendations were suggested for further improvement in future research.
