Abstract

This project paper, titled “Developing a Comprehensive Employee Code of Conduct and Whistleblowing Policy for IHealth Global Sdn. Bhd.,” aims to bridge critical governance gaps within a founder-led Malaysian SME operating in the highly regulated nutraceuticals, health supplements and skincare manufacturing industry. Despite the company’s strong operational controls, regulatory certifications, and ethical leadership, the absence of codified internal governance instruments exposes it to risks associated with concentrated ownership, limited oversight, and informal ethical controls. This study adopts a qualitative research methodology, utilising purposive sampling to engage directors, management, and operational staff. Data were collected through the structured interviews, internal document reviews, and focus group discussions. Thematic analysis was applied to identify existing governance gaps and structural deficiencies, specifically the reliance on informal leadership ethics and the absence of secure reporting channels. The project resulted in the formulation of a tailored Employee Code of Conduct and a robust Whistleblowing Policy. These instruments define explicit behavioural standards and establish a dual-channel reporting mechanism to ensure confidentiality and non-retaliation. These policies are aligned with the best practices of the Malaysian Code on Corporate Governance (MCCG) 2021, relevant regulatory frameworks, including the Employment Act 1955 and Malaysian Anti-Corruption Commission (MACC) Act 2009, and industry standards such as GMP, HACCP, and Halal certifications. Ultimately, this study facilitates IHealth Global’s transition from founder-dependent oversight to an institutionalised framework of accountability. The implementation of these tools reinforces organisational integrity and enhances stakeholder trust, positioning the company for sustainable growth
