Abstract

This project paper focuses on developing an Employee Code of Conduct and Whistleblowing Policy to strengthen corporate governance practices in Sin Hee Yang Property Management Sdn. Bhd. The project addresses governance gaps arising from the absence of formal documented policies, where existing practices are mainly guided by informal communication, managerial discretion, and experience-based oversight. Grounded in corporate governance principles and supported by relevant governance theories, this study adopts a mixed-method case study approach through semi-structured interviews, document review, and employee survey questionnaires. The findings indicate that the absence of documented policies weakens ethical clarity, accountability, reporting procedures, employee protection, and consistency in handling misconduct. In response, this project proposes a tailored Employee Code of Conduct and Whistleblowing Policy that are practical and suitable for the company’s size, structure, and operational needs. The proposed policies are aligned with relevant Malaysian governance and regulatory frameworks, including the Malaysian Code on Corporate Governance, Governance Code for Malaysian MSMEs, Whistleblower Protection Act 2010, Companies Act 2016, and Malaysian Anti-Corruption Commission Act 2009. This project contributes to SME corporate governance by providing a practical policy framework that promotes integrity, transparency, accountability, and long-term organisational sustainability.
